Thank you for using Mio! These terms of service (the “Conditions”) regulate your access and use of the Mio website and applications, a service marketed by 1SPIRE SAS (“Mio”, “The service”, “us”).

By accessing Mio or using the service, you agree to comply with these conditions, and with our Privacy Policy.
Every company has terms of use — these are ours.
1. Our Service
Mio helps you easily store, find and share all your everyday memories.
To achieve this, we work hard at Station F to provide top mobile ergonomics and the best image, barcode, and text recognition tech.
If you're tired of forgetting books, recipes, restaurants, or wines... Mio is made for you.
Mio also helps you work your memory using your own memories. Life goes by quickly — let’s protect it.
Your memories belong to you. Only the friends you've selected can see your data.

2. Who Can Use the Services?
You must be at least 13 years old to create an account or use Mio.
If you're in the EEA, you can only use Mio if you're at least the minimum age required by your country's law to consent to data processing.
You agree we may automatically update the software, and these terms apply to any update.
3. Acceptance of Terms of Use
By accessing, visiting or using the Service or creating an account, you agree to these conditions and all laws applicable (local, national, and international).
If you don’t agree — don’t use Mio.
4. Changing Services
We continuously improve our services and may add/remove features or discontinue the service altogether. We’ll try to notify you — but can’t guarantee advance notice.
5. Changing These Terms
We may change these Terms from time to time. The latest version is always posted on our site.
If a change is significant, we’ll notify you by email or in-app.
By continuing to use Mio after the changes, you agree to them.
6. Your Account
Creating an account is required. You agree to:
- Provide accurate and current info.
- Keep your info updated.
- Not impersonate anyone else.
We may suspend or delete your account if info is false or impersonates another.
7. Your Rights
Mio grants you a non-exclusive, revocable, non-transferable license to use the Service.
Updates are free and automatic.
8. Your Content
A. Responsibility
You’re solely responsible for the content you post on Mio.
You confirm:
- You own or have rights to your content.
- It’s accurate.
- You give us rights to use it under these terms.
We may pre-screen or remove content that violates these Terms.
If your account is removed, we may retain your content for sharing with your contacts or for archiving purposes.
B. Content on the Service
Mio is an ISP. We don’t monitor all content and don’t endorse it. We are not liable for any user content (including defamation, fraud, etc.).
C. Content Storage
We may remove content that exceeds your storage limits.
D. Content Rights
We don’t own your content, but you grant us a worldwide, royalty-free, perpetual license to use it only within Mio apps.
This includes the right to show your username/profile picture with your content (if enabled).
You waive any claims based on publicity, privacy or rights of attribution.

10. Copyright Policy
You are responsible for content you upload.
If sharing third-party content, credit the source.
If you think content on Mio infringes your copyright, notify us via our DMCA process or postal mail.
11. Security
We strive to keep your content safe but can't guarantee 100% security.
Keep your password confidential and report unauthorized access immediately.
12. Third-party Services
Mio may link to third-party websites or services.
We are not responsible for any third-party content or services accessed through Mio.
13. Payment Terms
In-App Purchases
Purchases may be made through:
- Apple App Store / Google Play
- Credit/debit card or PayPal
You authorize us to charge your payment method.
Subscriptions & Auto-Renewal
Subscriptions renew automatically unless cancelled.
Cancel before the end of the billing period to avoid renewal charges.
Deleting the app does not cancel your subscription.
Free Trials
Trials may convert to paid subscriptions unless cancelled.
No second free trial if already used on the same platform.
Refunds
Most purchases are non-refundable.
Special cases apply for some U.S. states.
See instructions in the original text for requesting refunds via Apple/Google or email.
Taxes
Prices do not include sales tax. You’re responsible for paying applicable taxes if we don’t collect them.
14. Cancel Your Account
Cancel anytime via contact@memorizer.ai.
We may terminate your account for inactivity or violations.
Articles 6, 10, and 20 survive termination.
15. Exclusions from Guarantees
We provide services “as is”.
We don’t guarantee:
- 100% uptime
- Error-free experience
- Up-to-date content
Some jurisdictions may not allow these exclusions.
16. Service Property
Everything except your content is property of Mio (software, branding, logos, etc.).
You may not copy, reverse engineer, or modify any part of the service.
Mio logos and trademarks require written permission for use.
17. Clearance of Responsibility
You agree to hold Mio and affiliates harmless from:
- Any damages or claims
- Your use of the Services
- Content you upload
- Breaches of these Terms
18. Compensation
You agree to compensate Mio for any claim from third parties related to:
- Your content
- Your use of the Service
- Violation of laws or rights
19. Limitation of Liability
Mio is not liable for:
- Indirect or special damages
- Lost profits or data
- Issues caused by user or third-party content
Total liability will not exceed €100.
20. Arbitration Agreement
A. Arbitration
Disputes must be settled by arbitration at the Tribunal de Commerce de Créteil, France.
No class actions allowed.
B. Waiver of Appeal
If class action waiver is invalid, arbitration clause is void.
21. Courts of Jurisdiction
Disputes will be handled by French courts unless local laws say otherwise.
22. Applicable Law
These Terms are governed by French law unless local laws require otherwise.
23. Final Terms
These Terms replace all prior agreements.
No rights for third parties are created.
You may not transfer your rights under these Terms without our permission.
